This Agreement is not assignable, transferable, or sub licensable by you without prior written consent by MAA. MAA may assign this Agreement in whole or part.

This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri without regard to conflicts of laws and provisions thereof. The sole jurisdiction and venue for actions related to the subject matter hereof shall be the Nevada State and U.S. federal courts sitting in Missouri. In any action or proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover costs and attorneys’ fees. Both parties agree that this Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communication, and other understandings relating to the subject matter of this Agreement, and that all modifications must be in a writing signed by both parties.
